2. Definitions
- Customer / Consumer: a natural person who buys for purposes unrelated to any business or professional activity.
- Business Customer (B2B): a company or professional who buys for purposes relating to their own activity.
- Project / Design Service: creative and advisory output (concept, moodboard, layout, furniture selection, PDF and/or other output described in the package).
- Furniture / Goods: furniture and accessories supplied by third-party suppliers.
- Supplier: a third party that manufactures and/or distributes the goods.
- Site: the Seller website.
3. Subject and scope of the service
A) Project only
The Seller provides a personalised design service. The content of the service and the output (e.g. PDF) are those described in the package purchased.
Exclusions (unless agreed in writing):
- The Project does not constitute a building or structural design, planning applications, works supervision, building services design or certifications.
- Regulatory checks, site compliance and installation activities remain the responsibility of qualified technicians and installers.
- The Seller accepts no liability for execution choices, installation, or changes made by third parties.
B) Project + Furniture (intermediation)
If the Customer buys a package including furniture, the Seller acts as a commercial and organisational intermediary. The Seller is not the manufacturer of the goods. The goods may come from several suppliers; deliveries and availability may therefore be staggered.
4. Conclusion of the contract and payments
- Order acceptance: the order is deemed accepted on receipt of the confirmation (email / personal area) and/or on receipt of payment.
- Prices and taxes: prices are stated in Euro and include or state VAT as indicated.
- Deposit and progress stages (SAL): for complex packages the Seller may provide for a deposit, any progress payments and the balance before orders are placed with suppliers.
- Suspension for non-payment: in the event of non-payment within the terms communicated, the Seller may suspend delivery of the service and/or the placing of orders.
- Payment methods: the methods available are stated on the Site; any charges from the payment provider are outside the Seller control.
5. Quotes: validity, indicative prices and changes
Unless otherwise agreed in writing, every quote is valid for 14 days from the date of issue. The Customer acknowledges that some amounts may be estimated or indicative until the order is confirmed (e.g. transport, delivery to the floor, assembly, extra services) and that supplier prices and logistics costs may change (price list changes, availability, customs, fuel, and so on). An updated cost summary will be communicated at final confirmation.
- Price changes: any changes are communicated before final confirmation; the Customer may accept them or ask for the order to be adjusted within the applicable limits.
- Obvious errors: the Seller reserves the right to correct material errors or typos (e.g. a clearly incorrect price) before order confirmation, within the limits permitted by law.
6. Product availability and substitutions within packages
The Customer accepts that the availability of some products may change (stock running out, discontinued lines, production times).
- Equivalent alternative: the Seller will propose an alternative equivalent in style, function and quality level at no extra cost to the Customer.
- Multiple alternatives: where possible, several alternatives will be proposed so that the Customer can choose.
- Removal of goods not yet ordered: if the alternative is not accepted, for goods not yet ordered the Customer may ask for the item to be removed and the total adjusted, where applicable.
7. Delivery times and staggered deliveries
Delivery times depend on supplier availability and production, logistics, public holidays, customs and couriers. Indicative average times: 4-12 weeks from order confirmation or from the order to the supplier, unless otherwise communicated. Where there are several suppliers or items with different lead times, deliveries will be staggered.
- Delays outside our control: the Seller is not liable for delays attributable to suppliers, carriers or force majeure.
- Force majeure: events such as strikes, logistics blockages, weather events, regulatory restrictions and unavailability of raw materials may affect the timings.
8. Shipping, delivery, damage and missing packages
Unless otherwise stated in writing, the furniture travels from the supplier warehouse to the Customer address (direct shipment). In such cases the Seller has no prior physical control over packages and packaging.
8.1 Checks on delivery (Customer obligation)
- Check the number of packages and the condition of the packaging at the time of delivery.
- In the event of anomalies, sign with a specific reservation on the courier document (e.g. PACKAGE DAMAGED, PACKAGING OPEN, NO. OF PACKAGES MISSING).
- Photograph packages, labels and packaging; keep the packaging and protective material until the product check is complete.
8.2 Seller support and limits of liability
If an item arrives damaged or packages are missing, the Seller can help the Customer open and manage the case with the supplier and/or carrier (ticket, sending documentation, coordinating spare parts or replacements according to supplier policy). It is understood that, in the case of a direct shipment, the Seller is not liable for transport damage, loss, tampering or delays attributable to carriers or suppliers. For Consumers, the mandatory legal remedies on conformity of goods remain unaffected.
8.3 Reporting deadlines
- Visible damage / missing packages: report to the Seller within 24 hours of delivery.
- Hidden damage: report to the Seller within 48 hours of delivery.
8.4 Delivery to the floor, assembly and access
Unless otherwise stated, delivery is understood to be standard (typically to street level or the building entrance).
Extra services (delivery to the floor, portering, assembly, removal of packaging) are separate and subject to availability and pricing. It is the Customer responsibility to check measurements and access (doors, stairs, lifts, passageways, building rules). If delivery or assembly proves impossible for reasons not attributable to the Seller or the supplier, the additional costs will be borne by the Customer.
9. Project: delivery, revisions and approvals
- Revisions included: any stages and revisions included are stated in the package purchased.
- Customer cooperation: the Customer must provide material and feedback within reasonable times; delays by the Customer may move the deadlines.
- Approvals: approval of boards, layouts or selections authorises the following stages to proceed and, where provided for, the placing of orders with suppliers.
- Scope of use: the Project is developed for the property or room indicated; changes of use or of measurements may require adjustments.
10. Renderings, images and material differences
Renderings and images are for illustrative purposes. Colours and finishes may vary because of light, screen calibration, production batches, natural grain and craft tolerances. Non-substantial differences compatible with the nature of the material do not constitute a defect.
11. Warranties (B2C) and conformity of goods
For Consumers, the legal warranty of conformity provided by the Italian Consumer Code applies to the goods purchased. The Seller will handle the Customer requests and, where necessary, will coordinate with suppliers and service centres. The warranty does not cover damage from improper use, non-compliant installation, normal wear, incorrect maintenance or work by unauthorised third parties.
12. Limitations of liability
To the maximum extent permitted by law, the Seller is not liable for indirect damage (e.g. loss of profit, business interruption, site delays, contractual penalties owed by the Customer to third parties). The Seller total liability is in any case limited to the sums actually paid by the Customer for the specific supply or service in dispute. The limitations do not apply in cases of wilful misconduct or gross negligence, nor to the Consumer mandatory rights.
13. Intellectual property
All the Project output is protected by copyright. Unless otherwise agreed in writing, the Customer obtains a personal licence to use the Project for the property or room indicated. Transfer to third parties, commercial reproduction or resale of the Project is prohibited.
14. Communications, updates and final clauses
- Communication: communications take place by email or certified email or through the channels indicated by the Seller; the Customer must keep their contact details up to date.
- Updates: the Seller may update this documentation; the applicable version is the one in force at the time of the order.
- Partial invalidity: the invalidity of any clause does not affect the validity of the remaining ones.
- Assignment: the Customer may not assign the contract without the Seller written consent; the Seller may assign the receivable within the limits of the law.
15. Applicable law and jurisdiction
- B2C: the Consumer place of jurisdiction where mandatory law so provides.
- B2B: exclusive jurisdiction of Bologna, unless otherwise agreed in writing.
